Welcome to The Unlock. Please read these Terms of Service ("Terms") carefully as they contain important information regarding your legal rights, remedies, and obligations. By accessing or using The Unlock platform, you agree to comply with and be bound by these Terms.

1. Definitions

"The Unlock" or "Platform" refers to the website, mobile applications, and services operated by The Unlock, Inc.

"User" refers to any individual who accesses or uses the Platform, including homeowners, homebuyers, and visitors.

"Content" refers to all information, data, text, photographs, images, and other materials uploaded, posted, or otherwise made available through the Platform.

2. Platform Overview

The Unlock is a platform that connects homeowners and homebuyers with information about demand and pricing trends. The Platform allows homeowners to indicate interest in receiving offers without publicly listing their property for sale. The Unlock is not a real estate broker, agent, or intermediary.

3. User Accounts

3.1. Registration. To access certain features of the Platform, you may need to register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2. Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3. Account Termination. We reserve the right to suspend or terminate your account at our sole discretion, without notice, for conduct that we determine violates these Terms or is harmful to other Users, us, or third parties, or for any other reason.

4. User Conduct

4.1. Prohibited Activities. You agree not to:

• Use the Platform for any illegal purpose or in violation of any local, state, national, or international law

• Harass, abuse, or harm another person

• Impersonate another User or person

• Post false or misleading information

• Attempt to gain unauthorized access to the Platform

• Interfere with or disrupt the Platform's functionality

• Scrape or collect data from the Platform without authorization

• Use the Platform to send unsolicited communications

• Distribute viruses or other harmful computer code

4.2. Content Restrictions. You agree not to post Content that:

• Is false, inaccurate, or misleading

• Infringes upon any third party's intellectual property rights

• Violates any person's privacy or publicity rights

• Contains offensive, defamatory, or discriminatory material

• Promotes illegal activities

5. Property Information

5.1. Accuracy. If you are a homeowner providing property information, you represent and warrant that all information you provide is accurate, current, and complete. You agree to update this information if it changes.

5.2. No Guarantee of Offers. The Unlock does not guarantee that you will receive offers or expressions of interest for your property. Expressions of interest from potential buyers do not constitute legally binding offers.

5.3. Not a Listing Service. The Unlock is not a multiple listing service or real estate listing platform. Information about your property is not publicly listed unless you expressly consent.

6. Privacy

Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and disclose information about you.

7. Intellectual Property

7.1. Our Intellectual Property. The Platform and its original content, features, and functionality are owned by The Unlock and are protected by copyright, trademark, and other intellectual property laws.

7.2. Your Content. You retain all rights to Content you submit, post, or display on or through the Platform. By submitting Content to the Platform, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute such Content for the purpose of providing and promoting the Platform.

8. Disclaimers

8.1. Not a Real Estate Service. The Unlock is not a real estate broker, agent, appraiser, or advisor. We do not provide real estate, legal, financial, or tax advice. Information provided through the Platform is for informational purposes only and should not be relied upon as professional advice.

8.2. Property Valuations. Any property valuations, price trends, or market information provided through the Platform are estimates only and do not constitute formal appraisals or guaranteed offering prices.

8.3. No Warranty. THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.4. Market Data. While we strive to provide accurate market data and trends, we do not guarantee the accuracy, completeness, or timeliness of such information.

9. Limitation of Liability

IN NO EVENT SHALL THE UNLOCK BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM.

10. Indemnification

You agree to defend, indemnify, and hold harmless The Unlock and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney fees and costs, arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, or your violation of any rights of another.

11. Modifications to the Terms

We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by email or by posting a notice on the Platform. Your continued use of the Platform after such modifications will constitute your acknowledgment and agreement to the modified Terms.

12. Dispute Resolution

12.1. Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

12.2. Arbitration. Any dispute arising from or relating to these Terms or the Platform shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association.

12.3. Class Action Waiver. You agree to resolve any disputes on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

13. General Provisions

13.1. Entire Agreement. These Terms constitute the entire agreement between you and The Unlock regarding the Platform and supersede all prior agreements and understandings.

13.2. Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions will remain in full force and effect.

13.3. No Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

13.4. Assignment. You may not assign these Terms without our prior written consent, but we may assign these Terms without restriction.
